Unlike <a href=\"\/en?p=8841\" target=\"_blank\" rel=\"noreferrer noopener\"><strong>capital companies<\/strong><\/a> (A.\u015e. or Ltd. \u015eti.) or <a href=\"\/en?p=8848\" target=\"_blank\" rel=\"noreferrer noopener\"><strong>private companies<\/strong><\/a>, cooperatives are based on <strong>partnership, solidarity, and mutual economic benefit<\/strong> of their members.<\/p>\n\n\n\n<p>They are widely used in sectors like agriculture, housing, trade, and professional associations where collective effort is crucial.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Key Characteristics<\/strong><\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Partners:<\/strong> Can be real or legal persons.<\/li>\n\n\n\n<li><strong>Minimum number of partners:<\/strong> <strong>Seven<\/strong> (unless a special cooperative type requires otherwise).<\/li>\n\n\n\n<li><strong>Shares:<\/strong> Each partner must undertake at least one and at most 5,000 shares.<\/li>\n\n\n\n<li><strong>Share value:<\/strong> Each cooperative share is valued at <strong>TRY 100<\/strong>.<\/li>\n\n\n\n<li><strong>Liability:<\/strong>\n<ul class=\"wp-block-list\">\n<li>If stipulated in the articles, partners may have <strong>limited liability<\/strong> (up to additional contributions).<\/li>\n\n\n\n<li>Alternatively, partners may have <strong>second-degree unlimited liability<\/strong> for cooperative debts.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Governance Structure<\/strong><\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>General Assembly (GA):<\/strong> Highest decision-making organ. All members (except those who joined less than three months before the GA) may participate and vote.<\/li>\n\n\n\n<li><strong>Board of Directors:<\/strong> Must include at least <strong>three Turkish citizens<\/strong> who meet the legal requirements.
